Terms & Conditions
1. Introduction
These Terms & Conditions (“Terms”) govern all services provided by [Dhairya Infotech]. By engaging our services, the Client agrees to be legally bound by these Terms without exception.
The Company reserves the right to modify these Terms at any time without prior notice.
2. Scope of Services
The Company will provide services only as mentioned in the approved proposal or invoice.
Any additional functionality, revisions, or modifications requested by the Client will be considered out of scope and will be billed separately.
The Company reserves the right to decline any request that was not included in the original contract.
3. Client Responsibilities
The Client must:
Provide all content, images, text, login details, and necessary materials on time.
Review and approve designs, drafts, and development outputs promptly.
Ensure that all provided content is legal and does not violate any copyright or laws.
The Company will not be responsible for delays caused by the Client’s late responses or incomplete content.
4. Payments & Charges
A non-refundable advance payment of [xx%] is mandatory to start any project.
The remaining payment must be made according to the milestones defined by the Company.
Delayed payments may cause project delays; the Company will not be held responsible.
No files, source code, hosting credentials, or project access will be handed over until full payment is received.
All payments made are strictly non-refundable.
5. Project Timeline
All timelines provided are estimated and may change based on revisions, client delays, or unforeseen circumstances.
The Company is not liable for any losses arising from project delays.
6. Revisions Policy
Only the number of revisions mentioned in the proposal are included.
Extra revisions will be charged as per the Company’s pricing policy.
Once a design or module is approved, further changes will incur additional charges.
7. Intellectual Property Rights
The Company retains ownership of all code, designs, frameworks, and development materials until full payment is completed.
After complete payment, the Client receives usage rights—not ownership—unless explicitly mentioned.
The Company may reuse parts of the code, modules, or libraries in other projects.
The Company has the unrestricted right to display the completed work in its portfolio unless an NDA is signed.
8. Third-Party Tools & Services
Any third-party charges (hosting, domain, APIs, plugins, email services, SSL, licenses, renewals) must be paid by the Client.
The Company is not responsible for downtime, errors, or failures of third-party services.
The Company will not renew domain/hosting unless the Client pays in advance.
9. Data Security & Backup
The Company is not responsible for data loss, hacking, server crashes, or unauthorized access.
Backup responsibility lies solely with the Client unless a paid maintenance plan is purchased.
10. Warranty & Support
The Company may offer limited post-launch support as per the proposal.
Support does not include new features, redesigns, malware removal, hosting issues, or third-party problems.
Additional support is chargeable.
11. Cancellation & Termination
If the Client cancels the project at any stage, all payments made remain non-refundable.
If the Client becomes unresponsive for more than 14 days, the Company may pause or terminate the project without refund.
The Company may terminate any project for misconduct, non-payment, or policy violations.
12. Liability Limitation
To the maximum extent permitted by law:
The Company is not liable for any direct, indirect, special, incidental, or consequential damages.
The Company is not responsible for business losses, revenue loss, or damages due to use or inability to use the product.
All services are provided “as is” without warranties unless stated in writing.
13. Governing Law
These Terms are governed by the laws of [India/Madhya Pradesh/Indore]. All disputes must be settled in courts located within the Company’s jurisdiction only.
